FeedRight Terms of Use

These Terms of Use govern access to and use of FeedRight's website, demos, pilots, dashboards, APIs, documentation, software, models, and related services.

By accessing or using FeedRight, you agree to these terms on behalf of yourself or the organization you represent. If you do not agree, do not use the services.

1. Agreement to Terms

These terms form a binding agreement between you and FeedRight. If you use FeedRight for a company, farm, university, or other organization, you represent that you have authority to bind that organization.

A separate written order form, pilot agreement, subscription agreement, data processing agreement, or statement of work may supplement or override parts of these terms for the services covered by that document.

2. Accounts and Authorized Users

You are responsible for maintaining accurate account information, protecting login credentials, and controlling activity under your account or workspace.

  • Only authorized users may access FeedRight systems.
  • You must promptly notify us of suspected unauthorized access or credential compromise.
  • You may not create accounts using false information or on behalf of another person without permission.
  • Administrators are responsible for assigning suitable roles and permissions to their users.

3. Product Access and Subscriptions

FeedRight may provide access through free website features, demos, evaluation environments, pilots, subscriptions, private deployments, or custom service arrangements.

We may modify, suspend, or discontinue features where needed for product improvement, security, reliability, legal compliance, or business reasons. We will use reasonable efforts to avoid materially disrupting paid services without notice.

4. Customer Data and Permissions

Customer Data means information, files, video, images, telemetry, annotations, feeding records, sensor data, prompts, outputs, and other materials submitted to or generated through FeedRight by or for you.

You retain your rights in Customer Data. You grant FeedRight the rights needed to host, process, transmit, analyze, display, reproduce, and create operational outputs from Customer Data solely to provide, secure, support, and improve the services as permitted by your agreement.

You are responsible for ensuring that you have all rights, consents, notices, and permissions required to provide Customer Data to FeedRight and to use the services in your operating environment.

5. AI Outputs and Operational Decisions

FeedRight may produce recommendations, confidence scores, alerts, simulations, reports, or other outputs based on the data available to the system. Outputs can be incomplete, delayed, inaccurate, or unsuitable for a specific farming decision.

FeedRight is a decision-support platform. Unless a separate written agreement expressly states otherwise, operators remain responsible for reviewing outputs and making final feeding, animal welfare, safety, and business decisions.

You must maintain appropriate human oversight, backup procedures, and safety practices for farm operations, including water quality monitoring, equipment checks, animal welfare obligations, and emergency response.

6. Acceptable Use

You agree not to misuse the services or help others misuse them.

  • Do not attempt to gain unauthorized access to FeedRight systems, accounts, data, networks, or infrastructure.
  • Do not interfere with, overload, reverse engineer, scrape, resell, or bypass limits on the services unless permitted by law or written agreement.
  • Do not submit unlawful, harmful, infringing, deceptive, malicious, confidential, or sensitive data unless you have authorization and the service is configured for that use.
  • Do not use FeedRight to violate animal welfare, environmental, privacy, trade, export, anti-corruption, or other applicable laws.
  • Do not remove proprietary notices or misrepresent the source, performance, certifications, or capabilities of the services.

7. Third-Party Services and Equipment

FeedRight may integrate with cameras, sensors, feeders, cloud providers, mapping systems, identity providers, analytics tools, or other third-party products. Third-party services and equipment may be governed by their own terms and privacy notices.

We are not responsible for third-party products outside our control. You are responsible for procuring, configuring, maintaining, and safely operating any farm equipment, connectivity, and infrastructure unless a separate written agreement says otherwise.

8. Fees and Payment

Paid services, pilots, and subscriptions are subject to the fees, billing terms, renewal terms, taxes, and payment methods described in the applicable order, invoice, or written agreement.

Unless otherwise stated, fees are non-refundable and exclusive of taxes. You are responsible for taxes, duties, bank charges, and similar assessments other than taxes based on FeedRight's net income.

9. Intellectual Property

FeedRight and its licensors retain all rights in the services, software, models, algorithms, interfaces, documentation, designs, templates, reports, aggregated insights, know-how, trademarks, and other technology we provide.

You may use FeedRight only as permitted by these terms and your applicable agreement. No rights are granted by implication, and FeedRight reserves all rights not expressly granted.

Feedback is voluntary. If you provide ideas, suggestions, or comments, you grant FeedRight a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

10. Confidentiality

Confidential information includes non-public business, technical, product, pricing, farm, customer, operational, and security information disclosed by either party. The receiving party must protect confidential information using reasonable care and may use it only for the purposes of the relationship.

Confidentiality obligations do not apply to information that becomes public without breach, was already known without restriction, is independently developed, or is lawfully received from a third party without confidentiality duties.

11. Disclaimers

To the maximum extent permitted by law, FeedRight provides the services on an as-is and as-available basis unless a separate written agreement provides specific warranties.

We do not warrant that the services will be uninterrupted, error-free, perfectly accurate, compatible with every farm setup, or suitable for every operational objective. Environmental conditions, camera visibility, sensor drift, network reliability, equipment state, and human review can affect results.

12. Limitation of Liability

To the maximum extent permitted by law, FeedRight will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, animal loss, crop loss, or reputational harm.

To the maximum extent permitted by law, FeedRight's aggregate liability for claims relating to the services will not exceed the amounts paid by you to FeedRight for the affected services in the twelve months before the event giving rise to the claim, or USD 100 if no amounts were paid.

13. Termination

You may stop using the services at any time. We may suspend or terminate access if you breach these terms, create security or legal risk, fail to pay amounts due, or use the services in a way that could harm FeedRight, customers, partners, animals, infrastructure, or the public.

After termination, your right to use the services ends. Provisions that by their nature should survive termination will continue, including payment obligations, confidentiality, intellectual property, disclaimers, limits of liability, and dispute terms.

14. Governing Law and Contact

Unless a separate written agreement states otherwise, these terms are governed by the laws of Malaysia, without regard to conflict-of-law principles.
